Significant Transactions

Represented a Riyadh-based private equity fund in the acquisition of an interest in a manufacturer of generic pharmaceuticals in Egypt (2008);  
Represented a Dubai-based Islamic bank for purposes of forming a private equity investment company based in the Dubai International Financial Centre (DIFC) to operate on a Shari’ah-compliant basis (2008); 
Represented a Dubai-based private equity investor in its successful bid to acquire, at auction, a car rental company from a significant hospitality group in the UAE, including full legal due diligence and the negotiation of a share purchase agreement (2008); 
Represented a major US investment company for the strategic and confidential purchase of a stake in an upstream and downstream Kuwaiti oil and gas company (2006); 
Represented a major US telecom operator in a joint venture with three telecom companies from Saudi Arabia, Dubai, and Jordan, aimed at the construction and operation of iDEN and next generation wireless telecommunications networks with similar functionality in the Middle East (provision of end-user telecommunications services, telecommunication infrastructure, consultancy and general management related to network support, operation, management, and maintenance) (2006);
Helped originate and advised on the leveraged buy-out (LBO) of a large French corporate cost-cutting and social contributions optimization leader to a major French financial institution, which acquired a 51% interest upfront (2006);
Represented a major US fund with operations in Europe in a private placement offering relating to a Spanish leisure firm for an undisclosed sum (2005).
Represented a Riyadh-based real estate fund on the development, construction and Shari’ah-compliant financing of certain real estate projects in Dubai and Abu Dhabi (2008); 
Represented the premier property development company in Dubai in connection with the development of the man-made Palm Islands for the drafting of a master declaration of conditions, covenants, and restrictions governing the main island (which includes a 500,000 square-meter water park-themed hotel, 1,500 beachside villas and 2,200 shoreline apartments). Drafted also their purchase and sale contracts and the rules for their associations of owners (2007);
Advised a real estate investment fund managed by the premier US investment bank on the sale of Europe’s most expensive single real estate asset located in Paris, France, based on a valuation of Euro 2, 110,000,000 (2007);
Advised one of the leading European real estate investors with Euro 3.3 billion market capitalization and Euro 20 billion of assets under management in a successful bid to acquire a 93,6% stake in a listed French company valued at Euro 2,270,217,272 (cash price Euro 1.25 billion) (2007);
Represented a European fast-food chain in the outsourcing of its real estate assets through sale and lease-back transactions to France’s fourth-largest Real Estate Investment Trust (REIT), for a sum of Euro 315 million (2007);
Advised an aeronautic defense company on the outsourcing of the real estate properties where its plants are operated throughout Europe (2007); 
Represented a major German open-fund in the purchase of a significant property in France and the putting in place of a triple-net lease with a large corporate single tenant for an undisclosed sum (2007);
Represented a major listed US hotel operator in its acquisition of several four-star boutique hotels in Paris (2005);
